Terms of Service

1. Acceptance of Terms

By accessing or using OMNIPAY ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

OMNIPAY is a decentralized payment infrastructure operating on the Arbitrum blockchain. We do not custody funds, process traditional payments, or act as a financial intermediary.

2. Eligibility

You must be at least 18 years old to use the Service. By using OMNIPAY, you represent and warrant that:

  • You are of legal age to form a binding contract
  • You are not located in a jurisdiction where use of blockchain payment services is prohibited
  • You are not on any government sanctions or watch lists
  • Your use of the Service complies with all applicable laws and regulations

3. Service Description

OMNIPAY provides the following services:

  • Request Payment: A walletless invoice flow allowing users to generate ephemeral payment addresses without creating accounts
  • Payment Gateway: A B2B SDK for casinos and gaming platforms to accept privacy-preserving cryptocurrency payments

All transactions are executed on the Arbitrum blockchain using zero-knowledge proof technology. OMNIPAY does not control, reverse, or intervene in blockchain transactions.

4. No Custody of Funds

OMNIPAY is a non-custodial service. We never hold, manage, or have access to your funds or private keys. All transactions occur directly between users and the blockchain. You are solely responsible for:

  • Securing your wallet private keys and seed phrases
  • Verifying transaction details before confirmation
  • Understanding the irreversible nature of blockchain transactions
  • Paying appropriate network gas fees

5. Prohibited Uses

You agree not to use the Service for:

  • Any illegal activities, including money laundering or terrorist financing
  • Circumventing sanctions, export controls, or other legal restrictions
  • Fraud, phishing, or social engineering attacks
  • Attempting to de-anonymize other users or reverse-engineer privacy protocols
  • Distributing malware, exploits, or other harmful code targeting blockchain wallets
  • Spamming the network with frivolous or malicious transactions
  • Impersonating OMNIPAY or its representatives
  • Any activity that could damage, disable, or impair our infrastructure

6. Blockchain Risks

You acknowledge and accept the following risks inherent to blockchain technology:

  • Cryptocurrency prices are volatile and can fluctuate significantly
  • Blockchain transactions are irreversible once confirmed
  • Smart contracts may contain vulnerabilities despite audits
  • Network congestion may cause delays or increased gas fees
  • Regulatory changes may affect the legality of cryptocurrency transactions
  • Loss of private keys results in permanent loss of funds

7. Privacy and Data

OMNIPAY is designed as a privacy-preserving platform. We do not collect personal information. However, blockchain transactions are publicly visible on the Arbitrum ledger. Users are responsible for understanding the privacy implications of their on-chain activities. Refer to our Privacy Policy for complete details.

8. Intellectual Property

OMNIPAY's software, including smart contracts, user interface, and documentation, is open-source and licensed under applicable open-source licenses. The OMNIPAY name, logo, and branding are proprietary trademarks. You may not use our trademarks without prior written consent.

B2B clients using our Payment Gateway SDK are granted a limited, non-exclusive license to integrate and display OMNIPAY branding in accordance with our brand guidelines.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIPAY AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR:

  • Any loss of funds, tokens, or cryptocurrency
  • Loss of profits, revenue, data, or business opportunities
  • Indirect, incidental, special, or consequential damages
  • Damages arising from smart contract vulnerabilities or blockchain failures
  • Damages from user error, lost keys, or compromised wallets
  • Network delays, congestion, or gas price fluctuations

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO OMNIPAY FOR SERVICES IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS LESS.

10. Indemnification

You agree to indemnify and hold harmless OMNIPAY, its developers, contributors, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation. Smart contracts deployed on the blockchain may continue to function independently even if the frontend interface is discontinued.

13. Changes to Terms

We may revise these Terms at any time by posting the updated terms on omnipay.club. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. Material changes will be announced via our official communication channels at least 30 days before taking effect.

14. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
